Terms for studios and administrators using Quorin.

1. Who these terms apply to

These terms apply to studios, studio owners, administrators, staff members, and other business users who create or manage a Quorin studio account. They do not replace the renter-facing booking terms, cancellation policies, room rules, or privacy notices that each studio is responsible for providing to its renters.

2. Quorin's role

Quorin provides software tools that help studios configure spaces, availability, rates, booking rules, renter communications, payments, and operational records. Quorin is not a party to the rental relationship between a studio and a renter unless a separate written agreement says otherwise.

Quorin may generate renter-facing terms from studio settings and policy data, but those generated terms are studio materials. Studios remain responsible for reviewing them, keeping them accurate, and ensuring they match the studio's actual renter policies.

3. Studio account responsibilities

Studios must provide accurate business, legal, tax, payment, and contact information; keep administrator access secure; promptly update policy settings when the studio's rules change; and ensure staff use Quorin only for authorized studio purposes.

Studios are responsible for the legality, accuracy, and completeness of their room descriptions, rates, taxes, cancellation and modification policies, renter addenda, generated renter terms, communications, and instructions.

4. Payments and billing

Quorin may support studio subscription billing, platform fees, renter payments to studios, and Stripe Connect or similar payment flows. Fees, taxes, payout timing, refunds, chargebacks, and payment-provider requirements may depend on the studio's plan, payment setup, and connected account status.

Studios authorize Quorin and its payment providers to process amounts owed for the platform and to facilitate renter payment flows according to the studio's configured policies. Studios remain responsible for amounts owed by or refunded to renters unless Quorin has expressly assumed that obligation in writing. Where Quorin has enabled direct payments for a studio, section 5 governs those renter payments, the fees charged on them, payouts, and disputes.

5. Studio payments, fees, and payouts

This section applies where Quorin has enabled direct payments for a studio. It governs renter card payments taken through Quorin, and it prevails over section 4 for those payments.

Merchant of record. The studio is the merchant of record for renter card payments taken through Quorin. The studio's business name is what appears on the renter's card statement, the payment settles into the studio's own payment account, and the studio is responsible for delivering the booking, for refunds it issues, and for responding to chargebacks.

Fee schedule. Card processing is 2.9% + 30¢ per successful card payment, charged in the currency of the payment. Studios on the Starter plan also pay a 7% plan fee on the booking subtotal, so their all-in rate is 9.9% + 30¢ per payment. Studios on the Growth and Scale plans pay no plan fee, so their all-in rate is 2.9% + 30¢ per payment. The combined amount is deducted from each payment as a single fee at the time the payment is processed. Published rates may change on notice; the rates in effect are the ones shown in the studio's Quorin billing settings.

Fees are not refundable. Fees are charged on processing, not on outcomes. When a payment is refunded in whole or in part, the fee already charged on that payment is not returned to the studio. Cancelling, modifying, or refunding a booking does not reverse the fee charged on the original payment.

Payouts. The studio's balance is paid out automatically to the studio's bank account on a daily schedule, subject to the payment provider's standard settlement timing, identity and business verification requirements, and any hold applied for risk, compliance, or dispute reasons. Quorin may change a studio's payout schedule where risk, dispute activity, or provider requirements make it necessary.

Disputes and chargebacks. Disputes and chargebacks on the studio's payments are the studio's responsibility. A disputed amount, together with the payment provider's dispute fee, is debited from the studio's balance when the dispute is opened, whether or not the dispute is later won. Quorin surfaces disputes in the studio's Quorin dashboard and provides the tools to respond, but the studio submits the response and bears the outcome.

Cards on file and standing authorization. A renter may authorize a studio to keep a card on file. That standing authorization is given to the studio, covers the renter's future bookings, the fees permitted by the studio's policies, and adjustments to bookings, and remains in effect until the renter removes the card. Studios must charge a saved card only within the scope the renter authorized and their own published renter terms.

Quorin plan subscription fees are separate from the fees described in this section and are billed to the studio directly.

6. Privacy and data

Quorin processes studio account data and renter booking data as described in the Privacy Policy and, where applicable, the Data Processing Addendum. Studios are responsible for giving renters appropriate notices and for choosing settings that match the studio's legal obligations.

7. Transactional text messaging

This transactional text messaging section applies to studios, studio owners, administrators, staff, invitees, renters, and other recipients who opt into Quorin transactional SMS/text messages. Quorin may send messages for verification codes, account access, booking confirmations, booking changes or cancellations, and booking reminders. Quorin does not use this text messaging program for its own marketing messages. A studio may add one short promotional line of its own to booking confirmations and reminders; that line is never sent on its own and never on a message about a payment, a refund or a charge, and any recipient can turn it off at any time from their Quorin account without affecting transactional messages. Message frequency varies based on account and booking activity.

Standard message and data rates may apply. For customer care, reply HELP to the number that sent the message or contact hello@quorin.studio. Reply STOP to opt out of SMS/text messages from that sender. Opting out may limit SMS-based account access, verification, booking confirmations, booking changes or cancellations, and reminders.

Carriers are not liable for delayed or undelivered messages.

8. Acceptable use

Studios must not use Quorin to violate law, infringe rights, send abusive or unlawful communications, interfere with the service, attempt unauthorized access, bypass usage or security controls, or upload harmful code or content.

9. Availability and changes

Quorin may modify, suspend, or discontinue features as the product evolves. Quorin will use reasonable efforts to operate the service reliably, but uninterrupted availability is not guaranteed.

10. Intellectual property

Quorin and its licensors own the platform, software, design, documentation, and related technology. Studios retain responsibility for and rights to their own business content, subject to the rights needed for Quorin to operate, secure, support, and improve the service.

11. Suspension and termination

Quorin may suspend or restrict access if a studio fails to pay, creates security risk, violates these terms, or uses the service in a way that may harm Quorin, renters, other studios, or third-party providers. Either party may end use of the service according to the applicable plan or written agreement.

12. Disclaimers and liability

Quorin is provided on an "as is" and "as available" basis to the extent permitted by law. Quorin does not provide legal, tax, accounting, insurance, or professional advice. Studios should obtain their own advice before relying on policy templates, generated terms, or platform configuration for compliance.

To the extent permitted by law, Quorin is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, or for studio-renter disputes, payment disputes, or losses caused by inaccurate studio settings or content.

13. Governing law

These terms are governed by the laws of Quebec and the applicable federal laws of Canada. The courts located in Quebec, district of Montreal, will have jurisdiction unless applicable law requires another forum.
