These Payments Terms govern Quorin's payment service for studios and organizers whose payment account Quorin opens and operates. The service is provided by 9361-9237 Québec inc., located at 1239 av. de l'Hotel-de-Ville, Montreal, QC, H2X 3A9. Quorin is a DBA of 9361-9237 Québec inc. Questions may be sent to hello@quorin.studio.
1. Who these terms apply to
These terms apply to a studio or organizer ("you") that accepts them before Quorin opens a payment account for it, and only to a payment account opened under them. A payment account opened under earlier terms stays under those terms until it is replaced by a payment account under these terms, after notice from Quorin and your acceptance.
The person who accepts these terms confirms that they are authorized to bind you. For a studio, the administrator who completes payment setup is recorded as the studio's representative for its payment account. If that person leaves the studio or loses administrator access, the studio must name a new representative promptly, and Stripe may need to verify that person.
These terms apply in addition to the Quorin SaaS Terms, for a studio, or the Quorin Organizer Terms, for an organizer, and to the Privacy Policy and the Data Processing Addendum. For payments taken through a payment account opened under these terms, these terms prevail over the provisions of those terms on payment accounts, fees, payouts, disputes and the fee treatment of refunds, where they conflict. Nothing in these terms reduces your customers' rights under their own terms or applicable law.
2. Quorin's payment service and Stripe
Quorin's payment service is the part of the Quorin platform that lets you accept card payments from your customers for the room bookings, class tickets and passes you sell through Quorin, and have the proceeds paid out to your bank account. Your payment account is the account Quorin opens and operates with its payment processor so that you can take those payments and have them paid out. You manage it in Quorin; you do not need a separate account with Quorin's payment processor.
Payment processing services for studios and organizers on Quorin are provided by Stripe and are subject to the Stripe Connected Account Agreement (https://stripe.com/connect-account/legal/full), which includes the Stripe Terms of Service (https://stripe.com/legal/ssa) (collectively, the "Stripe Services Agreement"). By agreeing to these Payments Terms or continuing to operate as a studio or organizer on Quorin, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Quorin enabling payment processing services through Stripe, you agree to provide Quorin accurate and complete information about you and your business, and you authorize Quorin to share it and transaction information related to your use of the payment processing services provided by Stripe.
You remain the seller of what you sell. Your customers' payments are made to your payment account, where Stripe, not Quorin, holds the funds until they are paid out to you. Quorin is not a bank, and no interest is paid on these funds.
You authorize Quorin to take the actions on your payment account that this service needs: to collect payments your customers authorize, to issue the refunds that you or your authorized staff request, that your published policy or the law requires, or that section 6 provides for when funds wait without a bank account, to deduct Quorin's fee, to pay out your funds, and to apply the holds described in these terms, including withholding payouts under section 8. This authority does not permit Quorin to collect a payment your customer did not authorize or to reduce a customer's mandatory rights.
3. Opening and verifying your payment account
You must give Quorin accurate, complete and current information about you, your business and the people who own or control it, and update it when it changes. Quorin passes this information to Stripe to open and verify your payment account. Stripe or Quorin may ask for more information or documents, for example an identity document when an automatic check fails, or when the law requires it. Your payment account may be restricted until the information is provided.
Quorin asks for information when it is first needed: the identity details Stripe requires before your first card payment, your bank account when you have money to be paid out, and other information only when Stripe or the law requires it. You can take card payments before adding a bank account (section 6).
Bank details and identity documents are entered in forms that send them to Stripe; Quorin does not keep them. Quorin keeps your legal name and address, your verified contact details, the record of your acceptance of these terms and, where the law requires it, the tax information described in the Privacy Policy. When you provide personal information in connection with your payment account, Stripe receives it and processes it in accordance with Stripe's Privacy Policy (https://stripe.com/privacy).
A change to your legal name or business number, or a transfer of your business, goes through Quorin's guided legal-identity change in Quorin. It may require accepting these terms and the Stripe Services Agreement again, and Stripe may need to verify the new information. After a change of business number, payouts stay on hold until a bank account in the name of the business that holds the new number is added and confirmed. If that hold reaches its limit (section 6), the held funds may be paid to the bank account on file even if it belongs to the previous business; Quorin cannot redirect that payment, and the amount paid that way is settled between the two businesses.
4. Securing your payment account
You must keep access to your Quorin account secure and tell Quorin promptly at hello@quorin.studio if you suspect unauthorized access.
Before you add your first bank account, change your bank account, change verified identity information or change your payout settings, Quorin requires two-step verification with an authenticator app on your Quorin account, and may ask for a new code at that moment. Keep your recovery codes in a safe place.
When the bank account for your payouts is changed, Quorin tells your representative and your administrators (for an organizer, you), including at the previous contact details, by email and by text message unless the recipient has replied STOP. Payouts are then held for 5 business days. No hold applies when you add your first bank account. If you tell Quorin that you did not make a change, Quorin may keep payouts on hold while it looks into it.
5. Fees
Quorin charges a single fee for its payment service: an all-in rate per card payment, set by your plan or, for class tickets and passes, by the organizer rate below, plus applicable taxes. The fee is the price of Quorin's payment service and covers card processing: Quorin pays its payment processor for it as Quorin's own cost, and you are not charged separately for processing the payments you take through Quorin.
Room bookings: 9.9% + 30¢ per card payment on the Starter plan, 4.9% + 30¢ on the Growth plan and 3.4% + 30¢ on the Scale plan.
Class tickets and passes, for every organizer and on every plan: 7.9% + 30¢ per purchase. Free registrations carry no fee.
Each percentage applies in two parts: 2.9 percentage points of it apply to the whole card payment, and the rest applies to the price before your own sales taxes (for a class ticket or pass, the ticket price before taxes). Each part is rounded to the cent. The fee before taxes is never more than the rate shown applied to the whole card payment; when you charge sales tax, it is less. The 30¢ applies once per card payment, in the currency of the payment. A written custom rate agreed with Quorin replaces these rates for the payments it covers. The rate that applies to you is shown in Quorin: in your billing settings for a studio, or on your earnings page for an organizer.
The same rate applies whatever card your customer uses, including international and commercial cards. Quorin may set different rates for some cards, currencies or payment methods only by changing these terms under section 14. Section 8 covers what a dispute costs you.
Applicable taxes on Quorin's fee, such as GST/HST and QST in Canada, are calculated on the whole fee from your legal billing information and added to it. Quorin's fee and those taxes are deducted from each payment when it is collected, and you receive the rest. Quorin issues a monthly fee statement showing the fees and taxes deducted, Quorin's tax registration numbers and, for information, the share of the fee that covers card processing. A statement records fees already paid; it is not a new charge.
Quorin's fee is not returned when a payment is refunded in whole or in part, including when a customer cancels, with one exception: when you or the hosting studio cancel a class session and the customer is refunded in full for that session, Quorin returns its fee on that payment less the card-processing portion shown for information on your fee statement, in proportion to the amount refunded (for a pass, the part of its price allocated to the cancelled session), together with the tax on the returned amount. A fee Quorin keeps never reduces a refund your customer is owed.
Quorin plan subscription fees are separate and are governed by the SaaS Terms.
6. Payouts
Funds from a card payment become available for payout after a delay set for your payment account; for a new payment account in Canada it is currently 7 calendar days. Quorin does not promise a shorter delay. If Quorin shortens the delay for your payment account, it tells you, and the shorter delay applies from then on. Available funds are paid out to your bank account on the schedule you choose in Quorin: daily, weekly or monthly. The default is daily.
For a new studio or organizer without a payment history, Quorin may keep a delay of up to 7 calendar days during the first 60 days after its first payment, even where a shorter delay would otherwise apply, based on Quorin's review of the account. Quorin tells you when this applies.
You can take card payments before adding a bank account. Your funds then wait in your payment account until you add one, and Quorin reminds you while money is waiting. Funds cannot wait without a bank account indefinitely: the Stripe Services Agreement or the law may limit how long, and that limit may change. If money is still waiting despite Quorin's reminders, Quorin sends you a final notice with a date. After that date, Quorin may pause new card payments on your payment account and refund the waiting funds to your customers; Stripe may also pause card payments or handle the waiting funds as the Stripe Services Agreement and the law require, including laws on unclaimed property. A refund Quorin makes for this reason is paid only from the waiting funds and never leaves you owing an amount under section 8. You can add a bank account at any time before the funds are refunded or otherwise handled, and they are then paid out as usual.
Quorin may also hold or delay payouts: for 5 business days after a bank account change (section 4); after a change of business number, until a bank account in the new business's name is added and confirmed (section 3); while Quorin or Stripe reviews unusual activity, a suspected fraud or a security concern; to cover a negative balance or another amount you owe under section 8; while your payment account is restricted or paused (section 11); or where the law or Stripe requires it. Quorin tells you the reason and what you can do, unless the law or security prevents it. A hold lasts no longer than reasonably needed and never longer than the law or Stripe allows. If payouts are still on hold when a limit set by the law or by Stripe is reached (for a payment account in Canada, currently 90 days), the held funds may be paid to the bank account on file. Refunds your customers are owed can still be paid from held funds.
Payouts are made in the currency of your payment account to the bank account linked to your payment account, which must be in your name or your business's name and in the country of your payment account.
7. Refunds, disputes and chargebacks
You are responsible for the refunds you owe your customers. Refunds are paid from your payment account balance; if the balance is not enough, it can become negative (section 8).
A customer can dispute a payment with their card issuer. While a dispute is open, the disputed amount is taken from your payment account balance, and you bear the dispute fee (section 8). Quorin tells you about each dispute and its deadline, and you answer it in Quorin with the evidence you have, such as the booking, the terms the customer accepted and attendance records. Quorin also sends reminders, normally 5 days and 2 days before the deadline. If you do not respond or cannot be reached, Quorin may submit the evidence it holds, but it is not required to, and you remain responsible for the outcome. If the dispute is decided in your favour, the amount is returned to your balance and the dispute fee is returned to you; if not, the loss is yours.
8. Your responsibility for losses, and how Quorin recovers them
Quorin is responsible to Stripe for losses on the payment accounts it runs, including yours. You are responsible for, and agree to reimburse Quorin for, any amount Quorin pays or owes because of a refund, a chargeback or disputed payment you lose, a payment reversal, a fine or assessment caused by your conduct, or a negative balance on your payment account, except to the extent it results from Quorin's own error or breach. When a customer disputes a payment, you also bear one dispute fee per dispute (currently CA$15 for a payment account in Canada), as part of what you are responsible for under this section. Any other fee the payment processor charges for a dispute, such as a fee for contesting it, is Quorin's own cost; if one is taken from your payment account balance, Quorin returns it to you. If the dispute is decided in your favour, the dispute fee is returned to you, even if the payment processor does not return it to Quorin.
While your payment account balance is negative, new payments first bring it back to zero. Quorin may also recover an amount you owe under this section by withholding payouts until it is paid. If your payment account balance is negative, Stripe may debit the bank account linked to your payment account to cover it, under the pre-authorized debit agreement that forms part of the Stripe Services Agreement. Quorin itself never debits your bank account. Any amount not recovered this way is payable within 30 days of Quorin's written request.
Quorin tells you when it withholds payouts under this section, and why. You may contest an amount by writing to hello@quorin.studio; Quorin will review it and return any amount it was not entitled to recover.
9. Your sales
You may use your payment account only to take payments your customers authorize for your own room bookings, classes, tickets and passes sold through Quorin, in your own name. You must not use it for anyone else's sales, to move money that is not payment for your sales, or for a business or product that Stripe or the card networks prohibit; Stripe lists restricted businesses at https://stripe.com/legal/restricted-businesses. Your business name appears on your customers' card statements in the form the card networks allow.
10. Notices about your payment account
Quorin sends notices about your payment account, such as information due and its deadline, a restriction, paused payouts, a bank account change, a change of representative or a dispute, by email and on your Quorin Home, to your representative and administrators, or to you as an organizer. These notices cannot be turned off in notification settings, because they protect your account and your money. Urgent notices, such as a deadline within 3 days or a bank account change, are also sent by text message unless the recipient has replied STOP.
You must keep your contact details in Quorin current. A notice under these terms is given when Quorin sends it by email to your representative (for an organizer, to you) at the address on their Quorin account; Quorin also shows it in Quorin.
11. Reviews, restrictions and pauses
Quorin may review your payment account and ask you for information at any time. Quorin may pause payments or payouts on your payment account, or limit what it can do, when it reasonably believes this is needed: to prevent fraud or a loss, because of unusual refund or dispute activity, because information is unverified or inaccurate, because of a breach of these terms, or because the law or Stripe requires it. Apart from the bank-change hold in section 4, a person at Quorin decides each pause. Quorin tells you the reason and what you can do, unless the law or security prevents it, and lifts the pause when its reason ends. Stripe may also restrict your payment account under the Stripe Services Agreement.
12. Closing your payment account
You may close your payment account at any time by writing to hello@quorin.studio. Quorin may close it on 30 days' notice, or sooner if you seriously breach these terms, if there is fraud or a significant risk of loss, or if the law or Stripe requires it.
Once your payment account is closed, you can no longer take card payments through Quorin. Your remaining funds are paid out to your bank account or, if you have not added one, wait as section 6 provides; Quorin may withhold that payout until amounts you owe under section 8 are paid. Refunds and disputes can still arise on past payments after closing, and sections 7, 8, 10, 13, 16 and 17 and any amount owed continue to apply. Closing your payment account does not by itself end the SaaS Terms or the Organizer Terms, and does not cancel bookings or purchases your customers have already made.
13. Records and privacy
Quorin keeps records of your payments, fees, payouts, refunds and disputes, and of your acceptance of these terms: the version, the date and time, your IP address and your browser's user agent. The Privacy Policy explains how Quorin handles personal information, and the Data Processing Addendum applies when Quorin processes your customers' information for you.
14. Changes to these terms and rates
Quorin may change these terms or its rates by publishing a new version and telling you at least 30 days before it takes effect. A change required by law or by Stripe may take effect sooner, with as much notice as possible, and a fee reduction may take effect immediately. Quorin will also ask you to accept the new version in Quorin. If you do not agree to a change, you may close your payment account before it takes effect, at no cost. If you keep taking payments after that date, the new version applies.
Quorin may transfer these terms to an affiliate or to a successor to the Quorin business, including a company formed to operate Quorin, by telling you in advance. If the transfer requires a new payment account or a new acceptance of the Stripe Services Agreement, Quorin will tell you what to do and when.
15. Where your payment account is
Your payment account's country is the country of your business, or of your residence if you sell as an individual. It is recorded when the account is opened, with the version and language of the terms you accepted. Some provisions apply only to accounts in a given country. Payment accounts are currently available only in Canada.
Payment accounts in Canada: identity checks. Our payment processor can obtain information about you from credit agencies to verify your identity. That information will be used for the purposes described in Stripe's Privacy Policy (https://stripe.com/privacy). By accepting these terms, you consent to this for yourself and confirm that each other person whose information you provide for your payment account has been informed of it.
Payment accounts in Canada: card acquirers. Stripe Payments Canada, Ltd. is a payment facilitator of the following acquirers for Visa and Mastercard transactions: Peoples Trust Company, #1400 - 888 Dunsmuir Street, Vancouver, BC, V6C 3K4, Canada, tel. 1-844-304-2083; and PNC Bank Canada, 130 King Street West, Suite 2140, Toronto, ON M5X 1E4, tel. 1-800-669-1518. Stripe's current list of acquirers and their contact information is at https://stripe.com/legal/acquirer-disclosure.
Payment accounts in the United States, when Quorin offers them. The credit-agency consent above does not apply. Stripe, LLC is a payment facilitator of the acquirers listed for the United States, with their contact information, at https://stripe.com/legal/acquirer-disclosure.
16. Disclaimers and liability
Quorin's payment service is provided on an "as is" and "as available" basis to the extent permitted by law. Quorin does not guarantee that a payment will be approved, that a dispute will be won or that a payout will never be delayed. Quorin does not provide legal, tax or accounting advice. Stripe's responsibilities to you are governed by the Stripe Services Agreement.
To the extent permitted by law, Quorin is not liable for indirect, incidental, special, consequential, punitive or lost-profit damages. This limitation does not exclude or limit Quorin's own duties or liability where applicable law prohibits doing so, does not apply to amounts Quorin owes you under these terms, such as fees Quorin must return under section 5 or amounts it was not entitled to recover under section 8, and does not deprive any person of a mandatory remedy.
17. Governing law
These terms are governed by the laws of Quebec and the applicable federal laws of Canada. The courts located in Quebec, district of Montreal, will have jurisdiction unless applicable law requires another forum.
The choice of law and forum in this section does not displace mandatory laws or rights applicable to a transaction in Canada or the United States, or restrict access to a court or authority where that restriction is prohibited.
18. Language
These terms are available in English and French. You accept them in the language you chose in Quorin; if you chose English, you expressly asked for these terms, and the contracts and documents that follow from them, to be in English. The French version is available at any time by switching Quorin to French.
The Stripe Services Agreement is in English. Stripe offers French translations for information, listed at https://stripe.com/fr-ca/legal/ssa-translations.
